Council of Elders Bylaws [DRAFT]
The first Elder was nominated by the founding Board of Directors of the OpenID Society. From this point forward all matters regarding the Council of Elders (Council) shall be in accordance with the bylaws that follow:
- Any Society Member can nominate someone to the Council by e-mailing a Letter of Recommendation to Elders@OpenIDsociety.org. Nominations will be confirmed by e-mail.
- Nominees must be approved by each Member of the Council in order to become an Elder.
- The Council must vote on nominees within three months of their nomination and make known their decision.
- Members of the OpenID Society Board of Directors (Board) cannot serve on the Council. The Board serves the Council.
- Appointment to the Council is for the life of the Elder unless the Elder resigns or is removed.
- Elders can resign from the Council at anytime by notification in writing to the Council and the Board.
- Elders can be removed from the Council by unanimous vote of each Elder on the Council.
- Each Elder is equal in all rights and privileges on the Council. Elders will be listed in the order they joined the Council.
- The Council has the power to advise and recommend. Council recommendations can only be enacted by the appropriate governing body.
- From time-to-time staff of the OpenID Society will bring forth agendas for the Council. The Council may act or not act on these agendas at their discretion.
- All decisions of the Council will be published on the OpenID Society website and available to the public.
- These bylaws can only be changed by unanimous vote of each member the Council and the Board.
